ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On November 3, 2023, Gartner, Inc. (the “Company” or “Gartner”) announced financial results for the three months ended September 30, 2023. A copy of the Company’s Press Release is furnished herein as Exhibit 99.1.

Financial Results

Gartner has scheduled a webcast call at 8:00 a.m. Eastern time on Tuesday, November 3, 2023 to discuss the Company’s financial results for the third quarter of 2023. An earnings supplement will also be available via the Internet by accessing the Company’s website at https://investor.gartner.com. An audio replay of the webcast will also be available on the Company's website.

Share Repurchase Authorization

On October 31, 2023, the Company’s Board of Directors authorized incremental share repurchases of up to an additional $500.0 million of Gartner’s common stock. This authorization is in addition to the previously authorized repurchases of up to $4.2 billion, which, as of the end of October 2023, had approximately $500.0 million remaining.

Repurchases of common stock by the Company may be effected from time to time through open market purchases, trading plans established in accordance with the U.S. Securities and Exchange Commission’s rules, accelerated stock repurchases, private transactions or other means, depending on satisfactory market conditions, applicable legal requirements and other factors. The Company is not obligated to repurchase any particular amount of common stock, and share repurchases may be suspended at any time at the Company’s discretion.

Net income: $180 million, +3.7% as reported; adjusted EBITDA: $333 million, +0.6% as reported, +0.1% FX neutral.
Diluted EPS: $2.26, +4.1%; adjusted EPS: $2.56, +6.2%.
Operating cash flow: $331 million, +5.1%; free cash flow: $302 million, +6.9%.
Repurchased 0.6 million common shares for $209 million.
Board of Directors increased the share repurchase authorization by $500 million in October 2023.

Gene Hall, Gartner’s Chief Executive Officer, commented, “Gartner delivered another strong quarter with high single-digit growth in contract value and better than expected performance in revenue, profitability, and free cash flow. These foreign currency neutral dollar amounts and percentages eliminate the effects of exchange rate fluctuations and thus provide a more accurate and meaningful trend in the underlying data being measured. We calculate foreign currency neutral dollar amounts by converting the underlying amounts in local currency for different periods into U.S. dollars by applying the same foreign exchange rates to all periods presented.
